Terms of Service**

These Terms of Service (“Terms”) govern the access to and use of services provided by ClearPoint VoIP LLC, a Texas limited liability company (“ClearPoint VoIP,” “Company,” “we,” “us,” or “our”). By accessing, subscribing to, or using any ClearPoint VoIP services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.

 

1. Scope of Services

 

1.1 Services Provided.

ClearPoint VoIP provides cloud-based communications services, including but not limited to:

 

Hosted VoIP and business phone services

 

Cloud PBX features (including call routing, IVR, voicemail, and call forwarding)

 

SIP trunking services

 

Mobile and desktop softphone applications

 

SMS/MMS and messaging services

 

E911 emergency calling services

 

Optional features such as call recording and international calling

 

Sale or provisioning of compatible telecommunications hardware

 

Collectively, the foregoing are referred to as the “Services.”

 

1.2 Service Availability.

Services are provided on a commercial best-efforts basis and are subject to network availability, third-party carrier performance, and Customer compliance with these Terms.

 

2. Eligibility and Account Registration

 

2.1 Eligibility.

You must be at least eighteen (18) years of age and have the legal authority to bind the entity you represent.

 

2.2 Account Information.

You agree to provide accurate, complete, and current information when establishing and maintaining your account. You are responsible for all activity occurring under your account credentials.

 

3. Customer Responsibilities

 

3.1 Network and Equipment.

Customer is solely responsible for:

 

Maintaining adequate broadband connectivity

 

Ensuring compatible hardware and software

 

Securing internal networks and endpoints

 

3.2 E911 Address Accuracy.

Customer must provide and maintain accurate service address information for all endpoints as required for E911 compliance. Failure to do so may result in emergency calls being routed incorrectly. See Section 9 (E911 Emergency Services).

 

3.3 Compliance with Law.

Customer agrees to comply with all applicable federal, state, and local laws and regulations, including telecommunications and data privacy laws.

 

4. Acceptable Use Policy

 

4.1 Prohibited Uses.

Customer shall not use the Services to:

 

Violate any applicable law or regulation

 

Transmit unlawful, fraudulent, abusive, defamatory, or obscene content

 

Interfere with or disrupt the Services or networks

 

Attempt unauthorized access to systems or data

 

Engage in spamming, robocalling, or traffic pumping

 

4.2 Resale Restrictions.

Customer may not resell or redistribute Services without a separate written reseller or wholesale agreement with ClearPoint VoIP.

 

5. Fees, Billing, and Payment

 

5.1 Fees.

Customer agrees to pay all recurring, usage-based, and one-time charges in accordance with the selected service plan and applicable rate schedule.

 

5.2 Billing Cycle.

Services are billed in advance unless otherwise stated. Usage-based charges may be billed in arrears.

 

5.3 Payment Authorization.

Customer authorizes ClearPoint VoIP to charge the designated payment method for all applicable fees.

 

5.4 Non-Payment.

Failure to pay amounts due may result in suspension or termination of Services, without liability to ClearPoint VoIP.

 

6. Term, Suspension, and Termination

 

6.1 Term.

These Terms commence upon Customer’s first use of the Services and continue until terminated.

 

6.2 Termination by Customer.

Customer may terminate Services in accordance with the applicable service agreement or cancellation policy.

 

6.3 Termination by Company.

ClearPoint VoIP may suspend or terminate Services immediately for:

 

Non-payment

 

Violation of these Terms

 

Illegal or fraudulent use

 

6.4 Effect of Termination.

Upon termination, Customer remains responsible for all accrued charges.

 

7. Service Modifications

 

ClearPoint VoIP reserves the right to modify, update, or discontinue any aspect of the Services, provided that commercially reasonable notice is given where required.

 

8. Hardware

 

8.1 Third-Party Equipment.

Hardware may be manufactured by third parties and is subject to their warranties and limitations.

 

8.2 Compatibility.

ClearPoint VoIP does not guarantee compatibility with non-approved devices.

 

9. E911 Emergency Services Disclosure

 

9.1 Limitations.

VoIP E911 services may not function during:

 

Power outages

 

Internet outages

 

Network failures

 

Improper address configuration

 

9.2 Customer Acknowledgment.

By using the Services, Customer acknowledges and accepts these limitations and agrees to inform all users of the same.

 

10. Disclaimer of Warranties

 

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CLEARPOINT VOIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 

11. Limitation of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARPOINT VOIP SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

12. Indemnification

 

Customer agrees to defend, indemnify, and hold harmless ClearPoint VoIP from any claims, damages, liabilities, and expenses arising from:

 

Customer’s use of the Services

 

Violation of these Terms

 

Violation of applicable law

 

13. Governing Law and Venue

 

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Venue shall lie in the state or federal courts located in Texas, unless otherwise agreed in writing.

 

14. Privacy Policy

 

Use of the Services is subject to ClearPoint VoIP’s Privacy Policy, which is incorporated by reference and available on the Company’s website.

 

15. Modifications to Terms

 

ClearPoint VoIP may update these Terms from time to time. Continued use of the Services constitutes acceptance of the revised Terms.

 

16. Severability

 

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

 

17. Entire Agreement

 

These Terms constitute the entire agreement between Customer and ClearPoint VoIP regarding the Services and supersede all prior agreements or understandings.
